Jiangling Motors Corporation, Ltd. and its Board members undertake that the
information disclosed herein is truthful, accurate and complete and does not
contain any false statement, misrepresentation or major omission.

Recently, Jiangling Motors Corporation, Ltd. (hereinafter referred to as “JMC” or the
“Company”) received government incentives of RMB 150 million appropriated by
Nanchang Xiaolan Economic and Technological Development Zone. The aforesaid
government incentives are related to the Company’s routine operatingactivities, but are
unsustainable. In accordance with the requirements of the Accounting Standards for
Business Enterprises No.16 - Government Incentives, the aforesaid government
incentives are related to income and will be recorded into the profits and losses of the
Company in 2023. The specific accounting treatment is subject to the results confirmed
by the IndependentAuditor.
