AspertheReplyoftheFoshanCentralSub-BranchoftheStateAdministrationofForeignExchangeontheForeignExchangeAffairsinMideaGroupCo.,Ltd.’sMergerwithWuxiLittleSwanCompanyLimitedinaShareSwapviaA-shareOffering(F.H.F[2019]No.1)issuedon22April2019,foranyLittleSwanforeigninvestorwithA-sharesoftheMideaGroupstockthroughtheshareswapwhowishestoremitabroadtheirA-sharedividendsandproceedsfromthereductionofsuchshareholdingsinanyforeigncurrency,theyshallproceedaccordingtotheNoticeoftheGeneralOfficeofthePeople'sBankofChinaontheIssuesconcerningtheOpeningandForeignExchangeAdministrationofAccountsofForeignShareholdersofA-shareListedCompaniesforShareholdingReductionandDividends(Y.B.F[2009]No.178).

Regulatory Commission issued the Official Reply on Approval of
Stock-for-stockMergerofWuxiLittleSwanCompanyLimitedbyMideaGroupCo.,Ltd.(Z.J.X.K[2019]No.352).
AftertheforeigninvestorsofLittleSwanareconvertedintoA-shareholdersofMideaGroup,theallocationoftherelevantspecialA-shareaccounts,theopeningofcapitalaccounts,aswellastheforeignexchangeandremittanceprocedurefordividendsandproceedsfromshareholdingreductionbecomecomplicated.Inparticular,itwillrequiremorematerials,aswellasalongertimeandprocedureforaforeigninstitutionalinvestortoexchangecurrenciesandremittherelevantfundsabroad.Iftheforeigninstitutionalinvestorfailstoprovidealltherequiredmaterialsforoutwardremittance,theremittancemaynotbeabletobemadeintime.Therefore,foreigninvestorsarekindlyremindedtopayattentiontotherelevantrisks.
Inordertoensuresmoothimplementationofthisstock-for-stockmergerandtoguidethesecuritiescompaniesandinvestorstocompletetheoperationbusinessesofaccountconversionrelatedtothetransferfromLittleSwan’sB-sharestoMideaGroup’sA-shares,theOperationalGuidelineshavebeenpreparedbasedon
communicationsanddiscussionsamongallrelatedparties.
Partofbasicproceduresconcerningthisaccountconversion,suchasthewithdrawalregistrationofB-sharesandinitialregistrationofA-shares,willbefurtherdefinedbyrelevantregulatoryorganizationsorexecutiveorganizationsbyissuingdocumentsornotices.ThisOperationalGuidelinesjustserveasgeneraldescriptionandthespecificoperationalproceduresshallbesubjecttothedocumentsornoticesissuedbyrelevantregulatoryorganizationsorexecutiveorganizations.
ThisOperationalGuidelinesarepreparedinbothChineseandEnglish.Incaseofanydiscrepancy,theChineseversionshallprevail.
