                 Company,recentlysignedtheSOHOChinaShanghaiBundprojectandWuhanWandaCentre         

                 CulturalDistrictJ1WuxiuTheatreprojectandwonthebidforthecurtainwallprojectofthe   

                 Guangzhou GTLand  Pearl River City D3-2 Area, with a total contact amount of

                 RMB255,428,912.25.

                     II.ImpactsoftheprojectsontheCompany

                     1. The contractamountoftheabove-mentionedprojectsaccountsfor18.27%ofthe      

                 Company'srevenuein2012.Theprojecttermrangesbetween6and18months.Theseprojects     

                 willlargelypropeltheCompany'srevenuegrowthin2013andfollowingyears.However,given  

                 factorsincludingprepayment,engineering,acceptanceandsettlement,theimpactsdependson

                 bothparties'performanceofthecontracts.Therefore,impactsontheCompany'sbusinessin2013

                 andfollowingyearsaresubjecttoactualimplementationoftheprojects.

                     2.TheCompanyanditscounterpartsintheabove-mentionedprojectsarenotrelatedparties.

                     3.TheseprojectswillnotaffecttheCompany'sbusinessindependence.TheCompanywill  

                 notdependonitscounterpartsintheabove-mentionedprojects.

                     4.Givenfactorsincludingprepayment,engineering,projectprogress,materialcosts, 

                 acceptanceandsettlement,theprojectsmaybringuncertaintiesfortheCompany'sfiscalposition.

                    Bothpartiesintheprojectshavethecapabilitytoperformthecontract.However,the     

                 implementationoftheprojectsmaybeaffectedbyunforeseeablefactorsorforcemajeure.
