                 andEnvironmentCharacterLab76,ShanghaiJiadingWorkersCultureCenter,Chongqing       

                 WanzhouWandaPlaza,ChengduJinniuWandaPlaza,FuzhouWusibeiTaihePlaza,Fujian         

                 ZhangzhouRongxinHotel,ShandongWeifangandSunny100CityPlaza.FangdNewMaterials      

                 (Jiangxi)Co.,Ltd.–oneofthefully-ownedsubsidiarieshasenteredthecontractwithShenzhen

                 SoftwareIndustrialBaseforsupplyingofaluminumplates.Thesecontractsaretotalledto   

                 RMB346,321,199.28.

                 II.InfluenceoftheprojectontheCompany  

                 1.Theabovecontractamountisaccountingfor25.68%oftheturnoverof2011.Implementingof  

                 theseprojectswillcontributetothegrowthoftheCompanyin2012andfollowingyears.However

                 thefactsincludingprepayment,engineeringprogress,receptance,andsettlementsaredecidedby

                 theactualsituationofthebothparty,thereforetheirinfluencesonthebusinessperformanceof

                 2012andfollowingperiodsaredependent.

                 2.TherearenoassociatedrelationshipsbetweentheCompanyandtheaboveemployers.

                 3.TheaboveprojectsmakenoinfluencesontheindependencyoftheCompany’sbusiness        

                 operation,andwillnotmaketheCompanydependentontheseprojects.
